1. The name of this organization is the ISPOR Chinese Medical Doctor Association Pharmacoeconomics Chapter (ISPOR Chinese MDA-PE Chapter) as well as the Pharmacoeconomic Professional Committee of the Chinese Medical Doctor Association. (Herein referred to as - Organization)
2. The Chinese Medical Doctor Association is a voluntary, legal organization complying with all the laws and regulations in China.
3. The Organization maintains affiliation as a component chapter of the International Society for Pharmacoeconomics and Outcomes Research (ISPOR).
4. The Organization operates on the territory of mainland China.
5. The office of the Organization is at the address: Room 1802, A Tower Junfenghuating No.69 Beichen West Road, Chaoyang District, Beijing P.R. China.
6. Chinese Medical Doctor Association is at the address: 3A, Nancaiyuan, Xuanwu District, Beijing P.R. China.

Part II Mission and Objective

1. The mission of the Organization is to:
   - Increase recognition of pharmacoeconomics and outcomes research in domestic medical doctors, physicians, pharmaceutists and other professionals in health care and related branches through professional trainings.
   - Provide an environment where domestic medical doctors, physicians, pharmaceutists, decision-makers and other professionals in health care and related branches can share knowledge and information all through China.
   - Serve as a bridge in bringing together domestic medical doctors, pharmaceutists and other professionals in health care and related branches and members of the pharmaceutical industry, health-related organizations, and academia.
   - Act as a resource of pharmacoeconomics and outcomes research in China for individuals interested in pharmacoeconomics and outcomes research.
2. The objective of the Organization is to:
   - Utilize the scarce health care resource in China to a maximum to improve the health status of the Chinese population.
   - Compile and update China pharmacoeconomic guideline and make it the national industry standard for pharmacoeconomic evaluation to promote the development of pharmacoeconomics in China.
   - Foster research programs to study how pharmacoeconomic evaluation can play a bigger role in China’s health policy.
   - Spread the idea of pharmacoeconomics to direct reasonable drug purchasing in China.
   - Create a communication platform for an exchange of information and development of all forms of collaboration between its members and organizations.
   - Foster the transfer pharmacoeconomic results into practice and suggest measures in public health policies.
   - Promote introduction of newest medical achievements and pharmacoeconomics & outcomes news.
   - Organize various meetings with foreign experts to discuss and popularize pharmacoeconomics in China.
   - Foster the economic evaluation into drug evaluation to promote scientific drug pricing and rational drug usage in China.
   - Serve as information resource for academic researches.
   - Communicate pharmacoeconomic information via electronic and printed mass media and information networks.
   - Organize lectures and seminars on urgent questions of development of public healthcare services.
   - Establish and support communications with non-governmental foreign and international organizations for realization of the purposes determined by the present Charter.

Part III Membership

Membership in the Organization and exit from it is voluntary. If he/she agrees with the mission and objectives of the Organization, he/she can lodge a written application to the management board for approval. The application contains basic information of the applicant and a document about reimbursement of the annual fee. The membership is renewed annually by reimbursement of the annual fee in the following year.

1. The members of this Organization include:
   - Individual members: Anybody who have achieved 18-year's age, of China, and foreign citizens can make an application to join this organization. If the application is allowed and membership fee is paid, they can become individual members of the organization to share the mission and objectives.
   - Organizational members: Legal organizations which have interests in pharmacoeconomics and outcome research in China can make an application to join this organization. If the application is allowed and membership due is paid, they can become organizational members of the organization to share the mission and objectives.
   - Sponsoring members: Organizations or individuals that give financial supports to this organization and agree on the mission of the organization, with the permission of the management board, can become sponsoring members. The sponsoring membership is not subject to payment of membership fees.
   - Honorary members: Honorary members of the organization include experts in the expert group and natural person who has merited of the development of the pharmacoeconomics, healthcare, medical science or development of the organization in a particularly important manner. The honorary membership is not subject to payment of membership fees.
   - At least three members of the Organization’s management are ISPOR members
2. The members of the Organization have the equal rights to:
   - Take personal part in activities of the Organization.
   - Get relative information service from the Organization.
   - Take personal part in lectures and trainings the Organization initiates.
   - Communicate with experts in pharmacoeconomics field at home and abroad.
   - Bring in the offers to all bodies of the Organization on their activity.
   - Use material base and international communications of the Organization.
3. The members of the Organization bear equal duties to:
   - Carry out the requirements of the Organization.
   - Participate in work on realization of the purposes and tasks of the Organization.
   - Not suppose actions discrediting the Organization.
   - Pay membership fees in a due and timely manner.
4. The membership automatically ceases:
   - By non-reimbursement of the membership fee within the term.
   - By not participating in any activities the organization holds in two consecutive years.
   - By withdrawal from the Organization on the basis of a written statement delivered to the management board, which is effective on the day of delivery.
   - By seriously infringed the Constitution of the Organization
   - By acting against mission and objective of the Organization
   - By damaging the good reputation of the Organization
   - By violation of the law of Peoples’ Republic of China
   - By death or declaration of death

Part IV Organization Management

1. The Organization’s management includes:
   - Membership
   - Executive Board
2. Membership is the supreme body of the organization and has the following rights:
   - Approve the constitution and any amendments by 2/3 vote.
   - Elect and revoke any Officer of the Executive Board.
   - Examine the annual report of activities and financial transaction s of the Organization.
   - Members may audit certain expert meetings with permission of the Organization
   - The Organization holds at least one membership conference every year and decisions shall be made by a majority of the members present. Acceptance of a decision and a change in the constitution require an affirmative vote of 2/3 members present at the membership conference
3. Executive Board is the executive body and includes the following officers:
   - Director-General
   - Deputy Director-General
   - Standing Members
   - Executive Secretary
   The Executive Board has the following responsibilities:
    Determines the working plan and program of the Organization.
    Determines other main affairs of the Organization.
4. The organization may have expert groups (committees). The expert groups are composed of a number of domestic senior consultants who have been involved to certain extent in the decision-making process of the public health policy. The expert group has the special task to guide the Organization’s activities with a macro perspective to better suit China’s current condition.

Part V Duties & Term of Officers

1. Duties of the Director-General:
    The Director-General is the authorized representative of the organization, who represents the organization outwards in China as well as abroad. The Director-General is entitled to sign all written documents on and in behalf of the organization.
   - Conducts and presides over all meeting of the Organization.
   - Appoints an individual to any office that becomes vacant subject to the Organization’s Executive Board approval.
   - Submits an annual report of activities and financial transaction to members of the Organization.
   - Submits an annual report to ISPOR
2. Duties of the Deputy Director-General:
   - The deputy Director-General represents the Director-General in absence of the latter.
   - Conducts and presides over all meetings of Organization in the absence of the Director-General.
   - Assists the Director-General with the responsibilities of Organization.
3. Duties of the Standing Members:
   - Approve working plan and program of the Organization
   - Determines and approves other main affairs of the Organization.
   - Perform duties as assigned by the the Executive Board
4. Duties of the Executive Secretary:
   The Executive Secretary shall be hired by the Executive Board and will perform the following duties.
   - Maintain all records of the Organization.
   - Collect member dues and maintain accurate records of all sources of income
   - Employ and manage staff as necessary to perform the duties of the Organization
   - Plan and organize meetings.
   - Communicate with members, Executive Board, and experts.
5. Director-General, Deputy Director-General, Standing Members and Executive Secretary shall be elected every four years by the Membership Conference; the Director-General shall hold the office for no more than two consecutive terms, and other officers may continue to serve upon reelection. If 2/3 of the members present at the Membership Conference vote to remove the Director-General, then she or he shall leave office immediately.

Part VI Conferences

The Organization holds meeting as needed to fulfill its mission.

Part VII Resources and expenses of the organization funds

1. Resources of the funds include:
   - membership fees: Individual membership fee is 120RMB per year; while organizational membership fee is 1200RMB per year. Student member only pays half of the individual membership fee.
   - sponsoring fees
   - funds raised by the pharmaceutical industry
   - interests
   - other earnings
2. The funds are used in:
   - ordinary expenses
   - promotion of the organization
   - establishment and maintenance of the pharmacoeconomic database
   - meetings, lectures and other activities
